Parties and Agreement to Terms

These Terms and Conditions ('Terms') govern your access to and use of the DermLens AI progressive web application ('App' or 'Service') available at www.dermlensai.com, operated by:

By accessing or using DermLens AI, you ('User', 'you', 'your') confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease use of the Service.

These Terms constitute a legally binding agreement between you and Nexa Global Limited. Continued use of the Service following any amendments constitutes acceptance of the revised Terms.

Nature and Description of Service

2.1 What DermLens AI Does

DermLens AI is an AI-powered Progressive Web Application (PWA) that:

• Analyses uploaded facial photographs using machine learning algorithms to identify visible skin characteristics
• Provides general, educational skincare tips and personalised non-medical skin analysis
• Recommends over-the-counter (OTC) skincare products available at retail without a prescription or pharmacy visit
• Offers educational content about skincare routines, ingredients, and best practices

2.2 What DermLens AI Does NOT Do

Our Service explicitly does NOT:

• Provide medical advice, medical diagnosis, or treatment plans of any kind
• Recommend any product that requires a prescription or pharmacy dispensing
• Replace or substitute for consultations with qualified healthcare professionals, dermatologists, or medical practitioners
• Provide emergency or urgent medical guidance
• Guarantee the suitability of any product for your individual skin type or medical history

The Service is provided for informational and educational purposes only. All AI-generated outputs are estimates based on visual analysis and generalised data, and may not be accurate for your individual circumstances.

Medical Disclaimer and Health Limitations

3.1 No Medical Advice

• Results generated by the App are general estimates and educational in nature — they are not personalised medical assessments
• The App cannot detect, diagnose, or rule out skin conditions, diseases, or health problems
• No doctor-patient or healthcare professional relationship is created through use of this Service
• Individual skin reactions to products vary; results described in educational content may not apply to you

3.2 When to Seek Professional Medical Advice

You must consult a qualified healthcare professional or dermatologist if you experience:

• Unusual, rapidly changing, or asymmetrical moles or skin growths
• Persistent, unexplained skin rashes, lesions, or discolouration
• Severe acne requiring oral or topical prescription medication
• Any allergic reactions or adverse skin responses to products
• Symptoms of skin infection including pain, warmth, swelling, or discharge
• Any skin condition that causes you concern or does not respond to OTC treatments

3.3 Emergency Situations

In any medical emergency or urgent skin health situation, contact your local emergency services immediately. Do NOT rely on DermLens AI for emergency guidance. Emergency contact in the UAE: 998 (Ambulance).

Product Recommendations and Affiliate Disclosure

4.1 Over-the-Counter Products Only

DermLens AI exclusively recommends products that are:

• Freely available for purchase without a prescription
• Obtainable at retail shops, supermarkets, pharmacies (without dispensing), or online retailers
• General consumer skincare products, not medical-grade or prescription treatments

4.2 Affiliate and Commercial Relationships

We are transparent about our commercial relationships:

• Nexa Global Limited may receive affiliate commissions or referral fees when you purchase products through links in the App
• Such commercial relationships do not influence the educational nature of our AI skin analysis
• Product recommendations are algorithmically generated based on general skin characteristics — they are not personal endorsements
• We do not guarantee the quality, safety, efficacy, or availability of any third-party products
• Always read product labels, ingredient lists, and manufacturer instructions before use

4.3 Patch Testing Advisory

We strongly advise all users to perform a patch test before applying any new skincare product to the face. Apply a small amount to the inner wrist or behind the ear and wait 24–48 hours. Discontinue use and consult a professional if irritation, redness, or adverse reaction occurs.

User Responsibilities and Acceptable Use

5.1 Acceptable Use

By using DermLens AI, you agree to:

• Use the Service only for its intended educational and informational purposes
• Provide accurate and truthful information when completing any profile or skin assessment
• Upload only photographs of your own face or photographs you have explicit permission to use
• Comply with all applicable laws and regulations of your jurisdiction, including UAE law
• Respect the intellectual property rights of Nexa Global Limited and third parties

5.2 Prohibited Activities

You may NOT use DermLens AI to:

• Upload photographs of other individuals without their explicit prior written consent
• Upload offensive, obscene, illegal, or inappropriate content
• Attempt to reverse-engineer, decompile, or extract source code from the App or its AI algorithms
• Use the Service to make medical diagnosis or treatment decisions
• Circumvent any technical security measures or access restrictions
• Create automated scripts, bots, or scrapers to access the Service
• Misrepresent your identity or impersonate another individual or entity
• Use the Service in any manner that could damage, overburden, or impair our systems
• Share, sell, or commercially exploit any output generated by the Service

5.3 Age Requirements

You must be at least 13 years of age to use this Service. Users between 13 and 17 years of age must have parental or guardian supervision and consent. Nexa Global Limited does not knowingly collect personal data from children under 13.

Users in the European Economic Area (EEA) must be at least 16 years of age, or have verifiable parental consent, in accordance with GDPR Article 8.

Privacy, Data Protection, and Facial Image Processing

6.1 Facial Image Data — Special Category

• Uploaded photographs are processed by AI algorithms for skin characteristic analysis
• Images may be retained temporarily during the active session for processing purposes
• Nexa Global Limited implements appropriate technical and organisational security measures to protect your data
• We do not sell facial image data to third parties
• You may request deletion of your data at any time by contacting dermlensai@gmail.com

6.2 Applicable Data Protection Laws

As a company incorporated in Abu Dhabi, UAE, Nexa Global Limited operates under:

• UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL)
• Abu Dhabi Global Market (ADGM) data protection regulations where applicable
• We also take reasonable steps to comply with GDPR principles for users based in the European Economic Area

6.3 Full Privacy Policy

Our full Privacy Policy, which forms part of these Terms, provides comprehensive details of how we collect, process, store, and protect your personal data.

Intellectual Property Rights

7.1 Ownership of the Service

The DermLens AI application, including but not limited to its AI algorithms, machine learning models, source code, design, graphics, trade marks, and educational content, is owned by or licensed to Nexa Global Limited and is protected by applicable intellectual property laws. The DermLens AI name and logo are trade marks of Nexa Global Limited.

You may not copy, reproduce, modify, distribute, transmit, display, or create derivative works from any part of the Service without our prior written consent.

7.2 Your Content

You retain ownership of any photographs you upload to the Service. By uploading content, you grant Nexa Global Limited a limited, non-exclusive, royalty-free licence to process and analyse that content solely for the purpose of providing the Service to you. This licence terminates when you delete your content or close your account.

You represent and warrant that you own or have all necessary rights to the content you upload, and that your content does not infringe the intellectual property rights or privacy rights of any third party.

7.3 Feedback

Any feedback, suggestions, or ideas you voluntarily provide about the Service may be used by Nexa Global Limited without restriction or compensation to you.

AI Technology Limitations and Accuracy Disclaimers

8.1 Inherent Limitations of AI Analysis

DermLens AI uses artificial intelligence and machine learning technology. Users should be aware of the following inherent limitations:

• AI analysis is based on patterns in training data and may not accurately reflect your individual skin condition
• Image quality, lighting conditions, camera resolution, and skin tone may affect the accuracy of analysis
• The App cannot see below the surface of the skin and cannot detect underlying conditions
• AI technology is continuously evolving; results may vary between app versions
• The App does not replace the clinical expertise of a qualified dermatologist or medical professional

8.2 No Warranty of Accuracy

Nexa Global Limited does not warrant or guarantee the accuracy, completeness, reliability, or suitability of any AI-generated analysis, skincare recommendation, or educational content provided through the Service. Reliance on any such information is entirely at your own risk.

8.3 Progressive Web Application (PWA) Notice

DermLens AI operates as a Progressive Web Application. Performance may vary depending on your device, browser, operating system, and internet connection quality. Certain features may not be available on all devices or browsers. We recommend using a modern browser with camera permissions enabled for the best experience.

Disclaimers and Limitation of Liability

9.1 Service Provided 'As Is'

9.2 Exclusion of Liability

To the fullest extent permitted by applicable UAE law, Nexa Global Limited, its directors, employees, agents, and affiliates shall NOT be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Adverse skin reactions, allergic responses, or irritation from following product recommendations
• Delayed or missed medical diagnosis resulting from reliance on our educational content
• Any health complications arising from use of the Service
• Loss of data, business opportunities, revenue, or profits
• Any medical expenses, treatment costs, or healthcare costs
• Damages caused by third-party products recommended through the Service

9.3 Cap on Liability

Where liability cannot be entirely excluded under applicable law, our total aggregate liability to you for all claims arising from or relating to the Service shall not exceed the greater of: (a) the total fees paid by you for the Service in the 12 months preceding the claim, or (b) AED 100 (UAE Dirhams one hundred).

9.4 Service Availability

We aim to provide a reliable and available Service but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, technical failures, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service, or any feature thereof, at any time with or without notice.

Indemnification

You agree to defend, indemnify, and hold harmless Nexa Global Limited and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising from or relating to:

• Your violation of these Terms or any applicable law or regulation
• Your use or misuse of the Service
• Your infringement of any intellectual property or other rights of any third party
• Any content you upload to the Service
• Any health or skin-related consequences arising from your reliance on our educational content

Third-Party Services and Links

The Service may contain links to third-party websites, products, or services. These are provided for convenience and informational purposes only. Nexa Global Limited does not endorse, control, or accept responsibility for any third-party content, products, services, privacy practices, or terms of use.

Any transactions or interactions you undertake with third-party retailers or brands are solely between you and the relevant third party. We are not responsible for any loss or damage arising from such transactions.

Third-party AI or data processing services used in the delivery of our App are subject to their own terms and privacy policies.

Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Abu Dhabi and the applicable federal laws of the United Arab Emirates, without regard to their conflict of law provisions.

12.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties agree to:

• First, make a genuine good-faith effort to resolve the matter amicably by contacting us at dermlensai@gmail.com
• If the dispute is not resolved within 30 days, it shall be referred to and finally resolved by arbitration administered by the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC) in accordance with its rules
• The seat of arbitration shall be Abu Dhabi, UAE
• The language of arbitration shall be English

12.3 Class Action Waiver

To the extent permitted by applicable law, you waive the right to participate in any class action, collective action, or representative proceedings against Nexa Global Limited.

Termination

13.1 Termination by You

You may discontinue use of the Service at any time. To request deletion of your account and associated data, please contact us at dermlensai@gmail.com.

13.2 Termination by Nexa Global Limited

We reserve the right to suspend or terminate your access to the Service, without notice, if you:

• Violate any provision of these Terms
• Engage in activities that may harm or put at risk other users, the Service, or Nexa Global Limited
• Provide false or misleading information
• Engage in fraudulent, abusive, or unlawful conduct

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Clauses that by their nature should survive termination — including Sections 7, 8, 9, 10, and 12 — shall continue in full force and effect.

Amendments to These Terms

Nexa Global Limited reserves the right to modify these Terms at any time. When we make material changes, we will:

• Update the 'Effective Date' at the top of this document
• Display a notice within the App
• Where reasonably practicable, send notice to registered users

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary, or severed, and the remaining Terms shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nexa Global Limited concerning the Service and supersede all prior agreements, representations, or understandings.

Assignment: Nexa Global Limited may assign or transfer its rights and obligations under these Terms at any time. You may not assign your rights under these Terms without our prior written consent.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it at a later time.

Force Majeure: Nexa Global Limited shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, pandemic, or government action.

Language: These Terms are drawn up in the English language. In the event of any conflict between an English version and any translation, the English version shall prevail.
